For client projects: ownership and licensing of deliverables are defined in each project's individual agreement.

- A deposit is required before work begins (typically 50%)
- Remaining balance is due upon project completion or at milestones defined in the agreement
- Managed hosting and recurring services are billed monthly or annually as agreed
- Late payments may incur a fee as outlined in your project agreement
6. Project Scope and Changes
All projects are scoped and priced based on the requirements defined in the signed agreement. If you request changes that fall outside the original scope, we will provide a written change order with the additional cost and timeline before proceeding. We never charge for scope changes without your approval.
7. Confidentiality
We treat all project information as confidential. We will not share your business information, technical details, or proprietary data with third parties without your consent, except as required by law. For HIPAA-related engagements, confidentiality is further governed by a signed Business Associate Agreement (BAA).
8. Limitation of Liability
To the fullest extent permitted by law:
- GaffneyITS is not liable for indirect, incidental, or consequential damages arising from the use of our website or services
- Our total liability for any claim related to our services is limited to the amount you paid for the specific service giving rise to the claim
- We are not responsible for downtime, data loss, or service interruptions caused by third-party providers (hosting, APIs, etc.)
9. Warranties and Disclaimers
We stand behind the quality of our work and will fix defects in deliverables within a reasonable warranty period defined in your project agreement (typically 30 days after delivery). Beyond that:
- This website and its content are provided "as is" without warranties of any kind
- Blog articles and guides are for informational purposes only and do not constitute professional legal, medical, or financial advice
- Information about HIPAA and SOC 2 is educational — always consult qualified legal counsel for regulatory decisions
10. Termination
Either party may terminate a project engagement as outlined in the project agreement. If you terminate early, you are responsible for payment for work completed up to the termination date. We reserve the right to suspend or terminate website access for anyone who violates these Terms.
11. Governing Law
These Terms are governed by the laws of the United States. Any disputes will be resolved through good-faith negotiation first. If negotiation fails, disputes will be resolved through binding arbitration or in a court of competent jurisdiction.
